These Terms & Conditions ("Terms") govern your access to and use of the INTERESTING AMERICA website and also set out the general terms that apply to business inquiries, proposals, sourcing activities, Accommodation Proposals ("APs"), statements of work, confirmations, invoices, and related services provided by INTERESTING AMERICA, LLC ("INTERESTING SPORTS," "we," "us," or "our").
This website and our services are intended exclusively for business and professional use. No consumer bookings are offered through this website, and no booking or purchase is completed directly through the website itself.
By accessing or using this website, or by engaging with us in connection with a business inquiry, proposal, or project, you acknowledge that these Terms apply, subject to any separate signed agreement, signed addendum, or project-specific written confirmation that expressly supersedes them in whole or in part.
1. Website Use
You may use this website only for lawful business purposes and in accordance with these Terms.
You may not misuse the website, attempt unauthorized access, interfere with its operation, or use the website in any way that could damage, disable, overburden, or impair it.
You may not scrape, crawl, copy, harvest, monitor, index, extract, reproduce, republish, distribute, or use any website content, business information, sourcing structures, proposal formats, hotel-related information, or other materials made available through the website for competitive purposes or for any unauthorized commercial purpose without our prior written consent.
All content on this website is provided for general informational purposes only. References to destinations, accommodations, hospitality services, event-related services, room availability, or pricing do not constitute a binding offer, guaranteed availability, or final quotation and may be changed or withdrawn at any time without notice.
No business relationship, reservation, room hold, or contractual commitment arises solely from your use of this website, submission of an inquiry, or review of preliminary information made available through the website.
2. Commercial Terms
Inquiry Stage and Indicative Information
At the inquiry, sourcing, and preliminary proposal stage, any hotel options, rates, availability, room types, inventory references, contacts, or related information shared by INTERESTING AMERICA are indicative only, non-binding, and subject to change unless expressly confirmed in writing.
Unless expressly stated otherwise in writing, no rooms, services, or inventory are held or blocked on the customer's behalf at this stage.
Quoted rates and availability may change without prior notice and may vary depending on room count, room mix, occupancy, length of stay, arrival/departure pattern, minimum stay rules, timing of inquiry, market conditions, supplier requirements, taxes, fees, and currency factors.
Formal Proposal and Contract Formation
A binding commitment arises only when INTERESTING AMERICA issues a formal written proposal, AP, confirmation, invoice, or other written acceptance and the customer accepts it in the manner requested by INTERESTING AMERICA.
INTERESTING AMERICA may specify that acceptance occurs by written confirmation, signature, deposit payment, invoice payment, or written instruction to proceed. Until such acceptance occurs, all prior discussions and sourcing remain non-binding.
Prices, Currency, Taxes and Charges
Unless otherwise stated, all prices are quoted in United States Dollars (USD).
Quoted prices include only those items expressly stated in the applicable AP, SOW, confirmation, or invoice. Taxes, city taxes, VAT, destination fees, resort fees, service charges, gratuities, venue charges, transportation surcharges, security deposits, and similar items are included only if expressly stated.
Any increase in taxes, government-imposed charges, or supplier-imposed fees may be passed through to the customer.
Any bank fees, wire costs, intermediary deductions, currency exchange costs, or similar transaction charges are the responsibility of the customer unless expressly agreed otherwise in writing.
Payment Terms
Payment schedules, deposits, and due dates will be stated in the applicable AP, SOW, invoice, or confirmation.
Unless otherwise expressly stated in writing, all payments are non-refundable.
Late payment may result in release of inventory, repricing, suspension of performance, cancellation, refusal to proceed, or loss of availability, without liability to INTERESTING AMERICA for any resulting change in rate, availability, or supplier position.
INTERESTING AMERICA may require cleared funds before confirming, maintaining, or delivering any services.
Cancellations, Reductions, Attrition and Changes
Any cancellation, reduction, amendment, rooming list change, name change, shortened stay, or other material modification request must be made in writing and remains subject to acceptance by INTERESTING AMERICA and any applicable supplier terms.
Unless expressly agreed otherwise in writing, reductions in room counts, shortened stays, partial cancellations, attrition, or unused services do not entitle the customer to any refund, credit, release, or reduction in minimum stay obligations.
If INTERESTING AMERICA agrees to any cancellation, reduction, or amendment, revised pricing, attrition charges, cancellation charges, forfeiture of deposits, or other commercial adjustments may apply.
Event-Specific Conditions
Minimum night stays, peak-night rules, room-type restrictions, event-specific inventory controls, and access conditions may apply and may vary by event, venue, tournament stage, supplier, or demand period.
Minimum stay obligations may not be diluted or avoided through partial cancellations, reduced occupancy, split stays, or selective cancellation of peak nights unless expressly accepted in writing.
Supplier Terms and Exclusions
Hotels, venues, transport providers, hospitality operators, and other suppliers may impose their own operational rules, payment rules, branding restrictions, security requirements, damage policies, guest conduct standards, and cancellation terms. The customer agrees to comply with all applicable supplier requirements.
Breakfast, food and beverage, room service, laundry, incidental charges, parking, telephone charges, internet charges, mini-bar, security deposits, and similar items are excluded unless expressly included in writing.
A valid credit card or similar security may be required directly by the supplier at check-in or during service delivery.
Non-Circumvention and Protected Introductions
This clause is a material basis on which INTERESTING AMERICA agrees to source, identify, negotiate, disclose, or introduce hotels, venues, suppliers, room blocks, availability, rates, or related commercial opportunities.
Any hotel options, rates, availability, contacts, supplier relationships, and commercially relevant information introduced, sourced, negotiated, or materially advanced by INTERESTING AMERICA are provided solely within INTERESTING AMERICA's brokerage and commercial process for the relevant project.
The customer shall not, directly or indirectly, circumvent, bypass, avoid, undermine, or attempt to bypass INTERESTING AMERICA in relation to any hotel, venue, supplier, contact, room block, service opportunity, or substantially similar commercial arrangement first introduced, sourced, identified, or materially advanced by INTERESTING AMERICA for that project.
This restriction applies whether the relevant engagement is undertaken by the customer, its affiliate, group entity, shareholder, advisor, representative, end client, traveler, sponsor, contractor, intermediary, or any person acting for or through the customer.
If the customer requires direct operational contact with a hotel or supplier for legitimate implementation purposes, including branding, security, compliance, or event delivery, such contact shall be coordinated through INTERESTING AMERICA unless otherwise expressly agreed in writing.
Confidentiality of Commercial Information
Unless otherwise agreed in writing, all proposals, rates, pricing logic, rooming structures, availability information, hotel identities disclosed in context, supplier contacts, negotiation positions, and project-specific materials shared by INTERESTING AMERICA are confidential and may be used solely for evaluating and executing the relevant project through INTERESTING AMERICA.
Such information may not be disclosed to unrelated third parties or used to procure the same or substantially similar services outside INTERESTING AMERICA's process.
Customer Responsibilities
The customer is responsible for the accuracy and completeness of all information, traveler details, rooming requirements, operational requirements, branding needs, billing information, legal or compliance constraints, and project assumptions provided to INTERESTING AMERICA.
The customer is responsible for the conduct of its guests, travelers, staff, contractors, delegates, invitees, and affiliated parties and for any damage, charges, penalties, or liabilities caused by them.
INTERESTING AMERICA Performance Standard
INTERESTING AMERICA will use commercially reasonable efforts to source, arrange, coordinate, and deliver the services described in the applicable AP, SOW, or confirmation.
Unless expressly stated in a signed writing, INTERESTING AMERICA does not guarantee uninterrupted supplier performance, exact room location, specific room numbers, exact views, uninterrupted event operation, or the performance of third-party suppliers.
Changes, Substitutions and Availability Risk
If required by supplier action, inventory change, venue change, event modification, transportation disruption, operational necessity, or similar circumstances, INTERESTING AMERICA may make commercially reasonable substitutions or adjustments to accommodations, services, suppliers, routing, or delivery structure.
Force Majeure
INTERESTING AMERICA shall not be liable for delay, failure, cancellation, substitution, increased cost, or non-performance caused in whole or in part by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, disease outbreak, epidemic, pandemic, government action, sanctions, travel restrictions, transport disruption, labor disputes, venue changes, severe weather, utility failures, supplier insolvency, event postponement, event cancellation, or similar events.
Where such circumstances arise, INTERESTING AMERICA may suspend, modify, substitute, or cancel affected services to the extent commercially reasonable. Any refund, credit, rebooking, transfer, or adjustment in such circumstances shall be determined by the applicable supplier terms and the specific AP, SOW, or written project agreement.
Third-Party Suppliers
INTERESTING AMERICA may coordinate, package, or resell services involving hotels, venues, transport providers, hospitality operators, ticket-adjacent providers, and other third parties. Third-party components remain dependent on the acts, omissions, inventory, capacity, operational decisions, and solvency of those suppliers.
To the maximum extent permitted by law, INTERESTING AMERICA is not responsible for supplier acts, omissions, delays, overbookings, closures, safety incidents, inventory withdrawals, operational failures, or policy changes, except to the extent directly caused by INTERESTING AMERICA's own breach of contract.
Disclaimer of Warranties
To the maximum extent permitted by law, services, sourcing results, proposals, and related materials are provided on an "as is" and "as available" basis, except as expressly stated in a signed writing. INTERESTING AMERICA disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, INTERESTING AMERICA shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profit, loss of savings, loss of opportunity, loss of goodwill, business interruption, or reputational harm.
To the maximum extent permitted by law, INTERESTING AMERICA's aggregate liability arising out of or relating to any project, transaction, AP, SOW, service, or relationship shall not exceed the total amount actually paid to INTERESTING AMERICA by the customer for the specific affected project giving rise to the claim.
Nothing in these Commercial Terms excludes liability to the extent such exclusion is prohibited by applicable law, including for fraud, willful misconduct, or other liability that cannot lawfully be limited.
Governing Law and Venue
These Commercial Terms, and any dispute arising out of or relating to any inquiry, proposal, AP, SOW, service, transaction, or relationship with INTERESTING AMERICA, shall be governed by the laws of the State of California, without regard to conflict of laws principles.
The state and federal courts located in Los Angeles County, California shall have exclusive jurisdiction, and each party submits to the exclusive jurisdiction and venue of those courts.
Electronic Communications
The parties agree that proposals, confirmations, notices, instructions, approvals, and acceptances may be made electronically, including by email, and that such communications may be used as evidence of agreement, instruction, notice, or acceptance.
Order of Precedence
Unless expressly agreed otherwise in writing, the order of precedence is:
(a) signed master agreement, if any;
(b) signed SOW or Addendum;
(c) formal AP or project confirmation issued by INTERESTING AMERICA;
(d) invoice and payment schedule;
(e) these Commercial Terms; and
(f) other prior communications.
General
No amendment is effective unless in writing.
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No waiver of any right or breach is a continuing waiver.
These Commercial Terms, together with any applicable AP, SOW, Addendum, invoice, signed agreement, and written project communication, form the parties' agreement for the relevant matter unless expressly superseded in writing.
3. General Terms
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms, the website, or any business inquiry, proposal, AP, statement of work, service, or related commercial dealing with INTERESTING AMERICA shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party submits to the exclusive jurisdiction of those courts.
We may update these Terms from time to time by posting a revised version on this website. The version in effect at the time of the relevant website use, inquiry, proposal, or project interaction will apply, unless otherwise expressly agreed in writing.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver by INTERESTING AMERICA of any provision of these Terms, or of any breach of these Terms, shall be deemed a further or continuing waiver of that provision or breach or a waiver of any other provision or breach.
